AARSH HEALTHMART – SELLER TERMS & CONDITIONS

1. Introduction

Welcome to Aarsh HealthMart, the E-Commerce section of the Aarsh ReproHealth platform, which is a unit of EndoDaylights India Private Limited(“Company”, “we”, “our”, “us”). By registering as a Seller on our marketplace, you (“Seller”, “you”, “your”) agree to comply with these Terms & Conditions (“Terms”).

These Terms govern your onboarding, listing, promotion, sale, delivery, and post-sale responsibilities on the Aarsh HealthMart platform.

Please read them carefully before proceeding.

2. Eligibility to Become a Seller

To enroll as a Seller on Aarsh HealthMart, you must be:

• A legally registered business entity in India (Proprietorship / Partnership / LLP / Pvt Ltd / Manufacturer / Distributor).
• Holding appropriate certificates to sell your category of products (FSSAI, AYUSH, CDSCO, ISO, GMP, etc.)
• Authorized to sell the products listed on the platform.

The Company reserves the right to approve, decline, or suspend any Seller based on regulatory, compliance, or business considerations.

3. Seller Onboarding Requirements

All Sellers must provide accurate documentation during onboarding. Mandatory documents include (as applicable):

Incomplete or falsified documentation will lead to rejection or deactivation.

4. Product Listing Requirements

All products listed must comply with Indian regulatory laws. Sellers must ensure:

• Accurate product descriptions
• Correct labelling (as per FSSAI / AYUSH / CDSCO / Legal Metrology rules)
• Clear front & back images
• No misleading health claims
• No expired, unsafe, or unapproved items
• Proper packaging and storage details

The Company reserves the right to remove any product that violates guidelines.

5. Pricing, Inventory & Stock Responsibility

Sellers are fully responsible for:

• Setting MRP & selling price
• Ensuring stock availability
• Updating inventory on time
• Communicating product discontinuations

Aarsh HealthMart is not liable for Seller stockouts.

6. Order Processing & Fulfilment

Sellers must:

• Dispatch orders within the committed timeline.
• Use high-quality, tamper-proof packaging to ensure product safety and hygiene.
• Coordinate with Aarsh HealthMart to ensure that a valid and compliant invoice is issued to the buyer by Aarsh HealthMart for each order.
• Ensure that products are delivered accurately, in full, and in undamaged condition.

Repeated delays, fulfilment failures, or customer complaints may lead to penalties, temporary suspension, or termination of the Seller's account, at the sole discretion of Aarsh HealthMart.

7. Returns, Replacements & Refunds

Sellers must accept returns in cases of:

• Damaged products
• Wrong product delivered
• Quality issues
• Expired or near-expiry products
• Manufacturing defects

Sellers must process replacements/refunds within the timeline stated by them on the platform.

8. Commission & Payment Settlement

Commission will be deducted per transaction as per the Seller Agreement. Payment settlements will be executed after deducting:

• Commission
• Taxes
• Penalties (if applicable)
• Approved refunds

The Company determines settlement on a monthly basis.

9. Marketing, Promotion & Visibility

By onboarding, the Seller provides consent for:

• Featuring products in campaigns, banners, newsletters
• Using product images, logos, and brand names for promotions
• Participating in sales or discount events on a mutual agreement basis

Sellers can opt for promotional add-ons at additional costs.

10. Prohibited Products

The Seller must NOT list:

• Prescription drugs (unless legally allowed & approved)
• Unregistered medical devices
• Products with banned ingredients
• Items violating Indian laws
• Sexually explicit, obscene, or unsafe products
• Counterfeit or duplicate items

The Company may take legal action for violations.

11. Seller Conduct & Compliance

Sellers must:

• Maintain honesty and transparency
• Avoid fraudulent claims
• Respond promptly to customer grievances
• Adhere to packaging, hygiene, and safety norms
• Refrain from manipulating reviews or conducting fake orders

Violation may lead to suspension or legal action.

12. Intellectual Property

The Seller confirms that:

• They own or are authorized to sell the products
• Product images, content, and branding do not infringe any copyrights

The Seller must indemnify the Company against IP violations.

13. Data Privacy

All Seller data is protected under applicable Indian data protection laws. Aarsh HealthMart will not share Seller information with third parties except:

• Logistics partners
• Payment partners
• Regulatory authorities (when legally required)

14. Termination & Suspension

The Company may suspend or terminate a Seller if:

• Fraudulent documents are provided
• Unsafe or illegal products are listed
• Customer complaints are unresolved
• Laws or regulations are violated
• Misconduct or unethical behaviour occurs

Either party may terminate the association with 30 days' notice.

Immediate termination applies for fraud or legal non-compliance.

15. Liability & Indemnification

The Seller agrees to indemnify Aarsh HealthMart against:

• Regulatory penalties
• Consumer complaints
• Product-related injuries or damages
• Misrepresentation, negligence, or malpractice

The Company is not liable for:

• Seller errors
• Product defects
• Delayed shipments
• Legal non-compliance by the Seller

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes will be settled exclusively under the jurisdiction of courts in Bengaluru, Karnataka.
